TROOD COMMUNITY AGREEMENT

This Trood Community Agreement (“Agreement”) constitutes a public offer governing access to and use of Trood platforms, services, software, repositories, workflows, communities, automation systems, and operational infrastructure (collectively, the “Platform”).

The Platform is operated by Rizq Management Software LTD, an Abu Dhabi Global Market (ADGM), United Arab Emirates company, commercial license 17963, operating under the “Trood” trademark (“Trood”, “we”, “our”, or “us”).

By accessing, using, registering on, participating in, funding, contributing to, publishing through, receiving services from, or otherwise interacting with the Platform, you accept this Agreement in full.

1. DEFINITIONS
1.1 Customer
A person or entity publishing projects, requesting work, funding milestones, or receiving deliverables.
1.2 Executor
A person or entity performing services, development, research, design, consulting, operational work, or other contributions as an independent contractor.
1.3 Project Appendix
Any project-specific scope, milestone definition, repository assignment, payment schedule, approval flow, specification, task list, architecture document, or operational record maintained within the Platform.
1.4 Platform Records
Any records, logs, milestone states, approvals, assignments, comments, payment records, repositories, workflows, or operational actions maintained by Trood systems.

2. PLATFORM ROLE
Trood provides operational infrastructure, coordination tooling, repositories, workflow systems, automation, communication systems, and related support enabling independent parties to collaborate.
Trood is not:
  • an employer,
  • staffing agency,
  • guarantor,
  • insurer,
  • legal advisor,
  • tax advisor,
  • financial advisor,
  • or fiduciary.
Trood does not guarantee:
  • project outcomes,
  • business results,
  • profitability,
  • uninterrupted operation,
  • suitability for a particular purpose,
  • compatibility,
  • delivery timelines,
  • or the quality of any participant’s work.
All Platform services are provided “as is” and “as available”.

3. ACCOUNTS & PARTICIPATION
Users must provide accurate information and maintain account security.
Trood may:
  • approve or reject accounts,
  • request identity verification,
  • suspend access,
  • freeze activity,
  • remove content,
  • or terminate participation
  • at its sole discretion.
Users are responsible for all activity under their accounts.
Trood may maintain public or private profiles, contribution histories, project records, ratings, reputation signals, or participation metrics.

4. PROJECTS & APPENDICES
This Agreement acts as the master agreement for all Trood projects and services.
Project-specific details are defined through Project Appendices maintained on the Platform.
Project Appendices may include:
  • milestones,
  • timelines,
  • pricing,
  • repositories,
  • deliverables,
  • architecture,
  • acceptance criteria,
  • task definitions,
  • contributor assignments,
  • and operational workflows.
Platform Records maintained by Trood are considered authoritative unless Trood determines otherwise.

5. SCOPE & CHANGES
Scope, milestones, and payment structures must be explicitly recorded through the Platform.
Paid milestones may not be changed silently.
Any material change requires confirmation through updated Platform records or updated Project Appendices.
Trood may assist with operational coordination, restructuring, reassignment, or replacement of Executors for operational continuity.

6. PAYMENTS
Unless otherwise specified:
  • work is milestone-based,
  • no payment obligation exists before milestone funding,
  • and no escrow service is provided.
The default milestone structure is:
  • 50% upfront to initiate work,
  • 50% upon milestone approval or completion.
Trood may modify operational payment flows, assignment structures, internal routing, or payout mechanisms.
Platform payment records are considered authoritative.
Trood may charge commissions, platform fees, operational fees, transfer fees, or processing fees according to the fee schedule active at the time of payment.
Trood may update fees at any time.

7. EXECUTOR PAYOUTS
Executor payouts are processed after corresponding Customer payment events and may require operational review.
Trood may delay, suspend, adjust, reverse, or cancel payouts for:
  • disputes,
  • fraud prevention,
  • compliance,
  • operational risk,
  • technical issues,
  • chargebacks,
  • sanctions screening,
  • or policy violations.
Executors are solely responsible for:
  • taxes,
  • reporting,
  • invoicing,
  • insurance,
  • licenses,
  • subcontractors,
  • and regulatory compliance.
Executors participate as independent contractors and are not employees, partners, agents, or representatives of Trood.

8. ACCEPTANCE, NON-APPROVAL & REFUNDS
Milestone acceptance may occur through:
  • explicit approval,
  • payment completion,
  • repository acceptance,
  • deployment,
  • operational usage,
  • or other Platform actions indicating acceptance.
Trood may also treat a milestone as accepted if the Customer remains inactive or fails to provide feedback within a reasonable period.
Any fully paid milestone may be treated as final and approved unless Trood determines otherwise.
Refunds are entirely discretionary and may be approved, denied, split, delayed, adjusted, or conditioned at Trood’s sole discretion.
Trood is not obligated to issue refunds.

9. TIMELINES & DELAYS
Any timelines, estimates, projections, or schedules are non-binding unless explicitly stated otherwise in the relevant Project Appendix.
Delays caused by:
  • Customer feedback,
  • missing access,
  • changing requirements,
  • dependency failures,
  • third-party systems,
  • contributor availability,
  • or operational constraints
  • may extend delivery schedules automatically.

10. REPOSITORIES, IP & OPEN SOURCE
10.1 Customer Repositories
Deliverables specifically created for a Customer must be transferred into Customer-controlled repositories or storage systems where applicable.
Subject to full payment, ownership of those deliverables transfers to the Customer unless otherwise specified.
10.2 Trood Repositories
Any code, systems, structures, documentation, automation, workflows, datasets, or assets maintained in Trood-controlled repositories remain the property of Trood.
10.3 Executor Repositories
Assets remaining in Executor-controlled repositories remain owned by the Executor unless otherwise agreed.
10.4 Open Source
Open-source software remains governed by its applicable licenses.
Executors are responsible for compliance with all open-source obligations and notices.
10.5 Payment Condition
Until full payment is completed, Customers receive no ownership rights except a limited revocable evaluation right unless otherwise agreed.

11. CONFIDENTIALITY
Participants agree not to disclose confidential information received through the Platform unless:
  • authorized,
  • publicly available,
  • independently obtained,
  • or legally required.
Trood may access project data, repositories, communications, and operational records for platform administration, compliance, security, analytics, support, and dispute handling.
If stricter confidentiality obligations are required, parties must execute separate agreements directly.

12. AI SYSTEMS & AUTOMATION
Trood platforms may use AI systems, automation, algorithmic workflows, recommendation systems, summarization systems, or generated outputs.
AI-generated or automated outputs may contain inaccuracies, omissions, hallucinations, outdated information, or structural errors and require human verification.
Users remain solely responsible for reviewing, validating, approving, and using any generated outputs.
Trood is not liable for decisions made based on automated outputs.

13. PLATFORM GOVERNANCE
Trood may, at its sole discretion:
  • suspend accounts,
  • pause projects,
  • replace or reassign Executors,
  • modify workflows,
  • freeze funds,
  • reverse transactions,
  • remove content,
  • restrict access,
  • request verification,
  • enforce policies,
  • or apply manual operational overrides.
Trood may maintain operational logs and audit records.

14. MARKETPLACE & PUBLISHED SERVICES
Users publishing services, products, templates, repositories, APIs, or other offerings through the Platform remain solely responsible for:
  • legality,
  • performance,
  • representations,
  • support,
  • licensing,
  • and compliance.
Trood may remove or restrict published offerings at any time.

15. REFERRALS & PROMOTIONS
Trood may operate referral, affiliate, reward, incentive, or promotional programs.
Trood may modify or terminate such programs at any time.
Trood may reverse rewards or restrict participation for abuse, fraud, manipulation, or suspicious activity.

16. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
  • Trood shall not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.
  • Trood shall not be liable for project failure, missed opportunities, downtime, delays, lost data, repository issues, third-party services, contributor actions, or business outcomes.
  • Trood’s total liability arising from any claim shall not exceed the total fees retained by Trood relating to the relevant project during the 3 months preceding the event giving rise to the claim.
Users waive claims against Trood arising from interactions with other participants.

17. INDEMNIFICATION
Users agree to indemnify and hold harmless Trood, its affiliates, operators, contractors, officers, contributors, and representatives from claims, damages, liabilities, losses, costs, and expenses arising from:
  • user conduct,
  • project activity,
  • violations of law,
  • IP infringement,
  • misuse of the Platform,
  • or breach of this Agreement.

18. TERMINATION
Users may stop using the Platform at any time.
Trood may suspend or terminate access immediately and without liability at its sole discretion.
Termination does not eliminate:
  • payment obligations,
  • accrued fees,
  • confidentiality obligations,
  • IP obligations,
  • or liability limitations.

19. GOVERNING LAW & DISPUTES
This Agreement shall be governed by the laws and regulations of Abu Dhabi Global Market (ADGM), United Arab Emirates.
Any disputes shall be resolved exclusively under the jurisdiction of ADGM courts unless Trood elects another dispute process.

20. GENERAL TERMS
Trood may update this Agreement at any time by publishing updated terms on the Platform.
Continued use of the Platform constitutes acceptance of updated terms.
If any provision is unenforceable, remaining provisions remain effective.
This Agreement supersedes prior Platform agreements unless explicitly stated otherwise.

  1. Project Appendix
  2. Platform operational records
  3. This Agreement
  4. Supplemental policies or guidelines
This Agreement does not create:
  • employment,
  • partnership,
  • agency,
  • joint venture,
  • or fiduciary relationships between participants and Trood.

By using the Platform, you acknowledge that you have read, understood, and agreed to this Agreement.
